Wholesale Terms + Conditions

This website is operated by La Romi Ltd. Throughout the site, the terms “we”, “us” and “our” refer to La Romi Ltd and sister Brand MyChupi. La Romi Ltd offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

1. Contract

1.1 All orders placed by you and purchases of goods from us are based on these Terms and Conditions and are subject to acceptance by us either (as applicable): (i) by delivery of the goods to you; or (ii) by providing the goods you have purchased to you at our warehouse, at which point a legally binding contract is constituted between us.

1.2 The processing of your payment and acknowledgement of your order does not constitute legal acceptance of your order.

 

2. Ordering

2.1 We have a £150.00 minimum order spend (excluding VAT).

2.2 Placing an order on this website is considered as an 'invitation to treat' only. As such it is an offer made by the customer and does not constitute a contract agreement. You will be contacted within three business days to confirm the details and agree to the order including any modifications that are required due to changes in stock and/or pricing.

2.3 All orders placed by you and purchases of goods by you are subject to acceptance by us (as described in clause 1.1). We reserve the right not to accept an order at any time and for any reason, we will not be liable to you or anyone else in this circumstance.

2.4 Once your order has been dispatched, we regret to inform you that we cannot change or add any additional products. If you do require additional items a new order will need to be placed.

 

3. Tax Charges

3.1 All Products and postage prices are exclusive of VAT at 20% (where applicable)

 

4. Delivery

4.1 It is your responsibility to ensure the correct delivery address is given to us when you place your order. Any changes once an order is dispatched may incur additional costs.

4.2 We dispatch goods every day of the week except Saturdays, Sundays, Bank Holidays and two week Christmas Break (dates differ please contact us to see when we will be closed).

4.3 We operate on a 48 hour delivery timeline. You should in most cases receive your order the next 1-2 days for delivery in the UK after it has left our warehouse. Please note that this service is not a guaranteed next day service as couriers can experience delays themselves. International delivery times vary and we will advise when booking your delivery.

4.4 Unless you choose to collect your order at our warehouse and except in exceptional circumstances we aim to deliver the order in accordance to our delivery terms and conditions and timescales. We reserve the right to deliver the order in instalments.

4.5 Delivery timescales are not guaranteed and may change during busy periods.

4.6 La Romi Ltd cannot be held responsible for any delays incurred by the courier. We will try to chase and do our best to help resolve any issues and relay any information we have.

4.7 A valid signature may be required on collection and delivery. In the unlikely event, you have not received your order, you must notify us immediately.

4.8 You must do all that you can to ensure that delivery can take place at the given time and place. If you delay delivery or delivery fails because you haven't taken appropriate steps, you can rearrange delivery directly with the courier via the notification email sent by the courier. If a delivery fails as a result of circumstances within your reasonable control, the cost of any re-delivery shall be borne by you. If we are unable to arrange a date for delivery we reserve the right to cancel the order and refund you the price of the goods, less the delivery charge.

4.9 Without prejudice to clause 4.7, upon delivery of the goods to you or collection of the goods by you, the goods shall be at your risk and responsibility. In spite of delivery or collection, ownership (also known as title) in the goods shall not pass to you until the goods have been paid for in full. Until title of goods is passed to you from us, you shall (i) not be entitled to use the goods, (ii) safely hold the goods for us, (iii) return the goods to us immediately if we ask you to, (iv) be liable to us for any loss, damage or destruction of the goods. In addition, until title in the goods passed to you from us, you shall store the goods at your own cost separately from all other goods in your possession and marked in such a way that they are clearly identified as our property. You grant us an irrevocable licence to enter, with or without vehicles, any of your premises for the purpose of inspecting or repossessing the goods.

 

5. Payment

5.1 Once an order has been received and a corresponding invoice sent to you, you can send payment of the goods to complete your order by viewing the invoice email and: (i) clicking the ‘Pay Now’ button; or (ii) clicking the link in the invoice email, ready to be made for dispatch.

5.2 Bank Transfer - We welcome payments via Bank Transfer. On your invoice you will find details of the bank account which you must transfer to. We will dispatch once confirmation of the transfer has been made.

We use Wise (formerly TransferWise) for paying in GBP/EURO/USD. Instructions are detailed on the checkout page.

 

6. Returns/Cancellations and Refunds

6.1 Returns/Cancellations and Refunds can be requested via email to wholesale@la-romi.com. You must state:

6.1.1 Your order number and (if applicable) which products you are returning.

6.1.2 Details of why you wish to return the products.

6.2 Please note that for any Products, returns will only be accepted where the Products are returned in a good and saleable condition (other than where the Products were not in a good and saleable condition when you received them).

6.3 You may return items in a new and unused condition, in the original packaging exactly how they were purchased at the time of ordering; for example no missing items from both packs and or cartons. If broken packs or cartons are sent back the full amount of these will be deducted from the refund total and treated as a restocking fee.

6.4 You may cancel your order and return the items purchased to us by giving us notice of cancellation within 14 days of initial receipt of goods.

6.5 You will lose your right to cancel after the expiry of the 14 days from date of receipt

6.6 To exercise your right to cancel, you must follow our returns process found here. If you are cancelling the order due to problems with the goods you will need to inform us of the problem at the time of cancellation. Goods returned to our warehouse without being authorised may be refused and returned to you.

6.7 On cancellation for whatever reason, where you have received the goods you must return the goods to us (together with the original packaging) within 14 days of initial receipt of goods, at your cost.

6.8 Following cancellation subject to clause 6.10, we will refund you the price paid for the goods (or part of the order cancelled) if:

6.8.1 you notified us to cancel your order, where you have not received the goods; or

6.8.2 we receive the goods you returned to us, where you are in receipt of the goods; or

6.8.3 you provide us with a proof of return for the goods, where you have returned the goods but we have not yet received them.

6.9 We will refund you using the same means of payment as you used to pay for your order or purchase.

6.10 We reserve the right to make a deduction from the amount of the refund for loss in value of the goods returned where the goods show signs of unreasonable use; for these purposes, unreasonable use includes handling the goods beyond what is necessary to establish the nature, characteristics and functioning of the goods. We may withhold any refund until we have received the goods or you have supplied proof of return for the goods.

6.11 Your right of cancellation does not apply to goods which you have opened the product packaging after delivery or collection.

6.12 Returns and refunds are void if the item has been washed by yourself or a customer and or if the item has been personalised.

Received the wrong item

6.13 If you have received the wrong item in your order you will need to contact us within 14 days of receiving your goods.

6.14 We will require you to send the incorrect item back to us via a pre-paid returns label.

6.15 Prepaid returns label will be sent to you in the form of a courier returns label to your email with instructions to drop the parcel at a local courier pickup point. Once the parcel has been dropped off at the courier pick up point we will start the process of getting the correct item to you.

Faulty Goods/Wrong items

6.16 Where the goods are being returned because they are faulty or incorrect at the time of receiving them, we will meet the cost of return delivery.

6.17 Return postage costs will not be covered if you change your mind on an order, order the wrong item OR if you are putting in a claim after 14 days of receipt regardless if an item is faulty or incorrect.

6.18 No claims will be entertained after 14 days of receipt.

 

7. Colour Fastness/Shade Variation

7.1 La Romi Ltd does not guarantee colour fastness on any of the goods. Although every effort is made to adhere to manufacturing colour fastness guidelines.

7.2 Every effort is made to ensure matching colours across the range of goods, but there may be variations from dye batch to dye batch so it’s not possible to guarantee an exact colour match. For returns based on non-colour matching, we will not pay for the delivery of return of goods. Cost of return is only covered by a faulty item (ripped, unstitched, dirty, broken).

 

8. Stock Availability

8.1 All goods are subject to availability. While we endeavour to hold sufficient stock to meet all orders and purchases, if we have insufficient stock to supply or deliver the goods ordered and paid for by you, we will attempt to contact you using the details you have provided to us to ask you how you wish to proceed. We may, at our discretion, process any part of the order which is available. Where goods are out of stock, we will refund you the price paid for such goods as soon as possible and in any case within 14 days.

8.2 We cannot guarantee supply of stock at any time.

8.3 Clearance section products are not returnable for refunds.

 

9. Complaints

9.1 We will acknowledge complaints within 14 working days of receipt. In the unlikely event that you would like to make a complaint please forward an email to the following address: wholesale@la-romi.com

 

10. Security

10.1 La Romi Ltd do not hold, store or record any details relating to credit/debit cards. We do hold details such as customer contact information on very secure databases, however you can be assured that this information will never be passed on to any 3rd party.

10.2 The only data we store is what you type in when you create your account and orders and is the minimum necessary to process and deliver your orders. i.e. Your Email, Name, Company name, Shipping & Billing address and Phone number. By law we are required to keep any invoices raised for 6 years.

10.3 We cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from our website.

10.4 We share parts of this data with our payment providers in order to process your invoice payments. Any financial information entered within their platforms is not retained by us once the transaction is processed.

10.5 We share the delivery information with our couriers to be able to deliver our goods to you.

10.6 Email conversations are kept when pertinent to the history of the account/order.

10.7 You are able to access your personal data stored through your customer login. You can edit and amend any information that is incorrect. You may view information on historic orders/invoices. If you wish to delete your account, please contact us at wholesale@la-romi.com.

10.8 If a data breach occurs, under GDPR regulation we will inform you within 72 hours.

 

11. Liability

11.1 If you purchase goods from us as a consumer (which means anyone who acts outside the course of their business, trade or profession), to the extent not prohibited by law, we accept no liability for any:

11.1.1 loss which is not foreseeable (loss is foreseeable if it was an obvious consequence of our breach or if it was contemplated by you and us at the time you and we entered into our contract);

11.1.2 loss which arises when we are not at fault or in breach of these Terms and Conditions; and

11.1.3 business loss (which includes loss of profits, loss of business, contracts, goodwill, business opportunity and other similar losses, as well as business interruption).

11.2 If you are a trade customer, we shall have no liability to compensate you (whether in contract, tort (including negligence), breach of statutory duty or otherwise), other than any refund we make under these Terms and Conditions or otherwise at our discretion.

11.3 Without prejudice to clause 14.2, if you are a trade customer, we shall not be liable to you (whether in contract, tort (including negligence), breach of statutory duty or otherwise) for any: (i) loss of profits, business, contracts, goodwill, business opportunity and other similar losses, or any business interruption; or (ii) indirect or consequential loss, neither will we be liable to you for any other loss which is not a foreseeable consequence of us being in breach of these Terms and Conditions or our legal duties.

11.4 If you are a trade customer, you acknowledge and agree that these Terms and Conditions constitute the entire and only agreement between us.

11.5 Nothing in these Terms and Conditions is intended to affect your legal rights if you are a consumer, nor is it intended to exclude or limit our liability to you for fraud, fraudulent misrepresentation, for death or personal injury resulting from our negligence or for any other liability which cannot be limited or excluded as a matter of applicable law.

11.6 Goods are manufactured according to laws and guidelines in the UK only and we cannot confirm that the goods comply with any laws, regulations or other standards applicable outside the UK.

11.7 If you are a trade customer and subject to clause 14.5, we will not be responsible to you or, in the event that you are undertaking work for another person, to any other person, for the use of any goods by you. Accordingly, if you are a trade customer, you hereby agree to hold us harmless from and indemnify us against any liability associated with, any claim or allegation that we are responsible for any failings in the installation or use of goods that we supply.

 

12. Website

12.1 You agree not to copy, distribute, imitate any of the artwork, content, or other media contained in this web site. Also, you agree to not attempt to reverse engineer, misuse, or damage any part of the web site or the server infrastructure. You may not use any part of this service in a way which may be illegal, either by UK law, or within the jurisdiction where the site is being accessed from. You also hereby acknowledge that La Romi Ltd owns the Intellectual Property rights to all materials within this web site and any additional content or media provided by La Romi Ltd, unless otherwise specified.

12.2 This site is created and operated by La Romi Ltd, situated in the UK. La Romi Ltd, and the management thereof, make no warranty that the material on or available through this site is suitable for use in any other country. If you are accessing from any other country, it is the users responsibility to ensure that they comply with any local laws that may be applicable. You agree to use the site in the manner for which it was intended, and following instructions as and when they are provided.

12.3 Use of this site and any services contained therein are at the sole discretion of La Romi Ltd and its management. While we endeavour to ensure the web site is available at all times, we reserve the right to modify or terminate all or any part of the service at any time, and for any reason, without notice and without liability. We reserve the right to change the terms of service at any time without notice. It is the users responsibility to ensure they have read the terms and conditions that currently apply.

12.4 La Romi LTD shall comply with all applicable regulations pertaining to Data Protection within the UK.

12.5 La Romi Ltd disclaims any and all liability, responsibility, warranties, representations, or any other terms, express or implied, for the accuracy, legality, availability, merchantability, operability, non-infringement, or completeness of any part of the content upon this site. Furthermore, La Romi Ltd disclaims any responsibility for any harm, loss, or damage resulting from viewing or downloading any media from this site, or linked to by this site.

12.6 La Romi Ltd makes no warranty that this site, any content, or the servers used, are free of viruses or other harmful media. The user assumes all responsibility for any necessary servicing, repair, and/or correction that may result.

13 Reseller Obligations

13.1 The Reseller shall only be entitled to purchase any Products for distribution to its customers and in accordance with the respective Products’ usage rights and licensing terms.

13.2 Limitations on Resale. Reseller agrees to resell the Products only to End Users, and not to other resellers. Reseller may not resell Products via or through any branches or related entities of Amazon.

13.3 The reseller shall keep all original packaging information around the product and not alter the products themselves with additional logos.

15. Breach of term Without prejudice to our other rights under these terms and conditions, if you breach these terms of use in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your account access, prohibiting you from accessing the website and/or bringing court proceedings against you.
